3. Proposals, Fees, and Payment
• All pricing, payment schedules, and scope details will be provided in writing prior to the start of
work.
• Unless otherwise stated, invoices are due according to the payment terms listed on the invoice.
• Late payments may result in paused services or delayed delivery.
4. Client Responsibilities
Clients agree to:
• Provide timely access to information, materials, and approvals required to complete the Services.
• Confirm that any materials provided to MTN are owned or properly licensed.
• Assign a decision-maker for approvals when possible.
• Delays caused by missing information or approvals may affect timelines.
5. Revisions
Revision limits and processes will be defined in the applicable proposal. Requests outside the agreed scope may incur additional fees.
6. Intellectual Property
• Upon full payment, clients receive the usage rights to final deliverables as specified in the
agreement.
• MTN retains ownership of raw footage, project files, working files, and internal processes unless
otherwise agreed in writing.
• MTN may display completed work in its portfolio and marketing materials unless otherwise
requested in writing.
7. Communications & Marketing
By providing your contact information, you consent to receive emails, phone calls, and text messages from MTN related to:
• Inquiries, projects, and ongoing services
• Business updates or relevant marketing information
We respect your time and attention. We do not send excessive messages, sell contact information, or engage in spam. You may opt out of marketing communications at any time. Transactional or project-related messages may still be sent as necessary.
8. Confidentiality
Both parties agree to keep confidential any non-public information shared during the course of a project, unless disclosure is required by law or permitted in writing.
9. Termination
Either party may terminate a service agreement as outlined in the applicable proposal or contract. Fees for work completed up to the termination date remain payable. Deposits or retainers are non-refundable unless otherwise stated.
10. Disclaimer & No Guarantees
MTN provides services using professional standards and best practices but does not guarantee specific business, marketing, or revenue outcomes unless expressly stated in writing.
11. Limitation of Liability
To the maximum extent permitted by law, MTN’s liability for any claim related to the Services shall not exceed the amount paid to MTN for the Services giving rise to the claim. MTN is not liable for indirect, incidental, or consequential damages.
12. Governing Law
These Terms are governed by the laws of the state in which MTN, LLC is registered, without regard to conflict of law principles.
13. Changes to These Terms
MTN may update these Terms from time to time. Continued use of our website or services constitutes acceptance of the updated Terms.
